6. User Content

6.1 Ownership

You retain all rights to the content you upload (resumes, questionnaire responses, etc.). By uploading content, you grant us a limited, non-exclusive, worldwide license to:

Use, process, and analyze your content solely for providing our services
Store your content securely in our systems
Share your content with AI service providers (OpenAI, Anthropic) for analysis

This license terminates when you delete your content or account.

6.2 Responsibility & Warranties

You are solely responsible for the content you provide. You represent and warrant that:

You own or have the right to use all content you upload
Your content does not violate any laws or third-party rights
Your content is accurate and not misleading

7. AI-Generated Content

7.1 Nature of AI Analysis

The reports and recommendations generated by our Service are created using artificial intelligence (GPT-5 and Claude 3.5 Sonnet). You acknowledge that:

AI-generated content may contain errors, inaccuracies, or biases
Reports are for informational and strategic planning purposes only
AI recommendations should not be considered professional admissions consulting
You should verify all information before making application decisions

7.2 No Guarantee of Admission

CRITICAL DISCLAIMER: Use of our Service does NOT guarantee admission to any educational program. Admissions decisions are made solely by the institutions you apply to. Our Service provides strategic insights to help you prepare stronger applications, but ultimate outcomes depend on many factors beyond our control, including institutional priorities, applicant pool competitiveness, and subjective evaluation criteria.

8. Pricing & Payment

8.1 Payment Processing

All payments are processed securely through Stripe, an industry-leading payment processor. We do not store your credit card information on our servers. By making a purchase, you agree to Stripe's Terms of Service and Privacy Policy.

8.2 Billing for Subscriptions

For Monthly Plans ($39/month):

Your subscription automatically renews each month on the same day you signed up
You will be charged the then-current monthly rate
You can cancel anytime from your dashboard
Upon cancellation, you retain access until the end of your current billing period

For Yearly Plans ($299/year):

Your subscription automatically renews each year on the same day you signed up
You will be charged the then-current yearly rate
You can cancel anytime from your dashboard
Upon cancellation, you retain access until the end of your current billing period

8.3 Price Changes

We reserve the right to change our pricing at any time. Price changes will not affect existing subscribers until their next renewal period. We will provide reasonable notice (minimum 30 days) before implementing price changes for existing subscribers.

8.4 Taxes

Prices do not include applicable taxes. You are responsible for all sales, use, and similar taxes, and we will charge tax when required to do so. If you are exempt from tax, you must provide us with an appropriate tax exemption certificate.

8.5 Refund Policy

We offer satisfaction guarantees based on the plan you purchase:

Single Report Plan ($19): Full refund available within 48 hours of purchase
Monthly Plan ($39/month): Full refund available within 7 days of your first charge
Yearly Plan ($299/year): Prorated refund available within 14 days of purchase

9. Intellectual Property

9.1 Our Content

The Service and its original content, features, and functionality are owned by GradIntel and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. This includes but is not limited to:

Website design, layout, and user interface
AI prompts, algorithms, and analytical frameworks
Report templates and formatting
Branding, logos, and trademarks
Software code and architecture

9.2 Trademarks

"GradIntel" and our logo are trademarks of GradIntel Inc. You may not use these trademarks without our prior written permission.

9.3 User Reports

The personalized reports generated for you are licensed for your personal use only. You may:

Allowed:

Download and print for personal use
Share with educational consultants/advisors
Reference in application essays (with proper attribution)

Not Allowed:

Resell or redistribute to third parties
Use for commercial purposes
Claim authorship of AI-generated content

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

Warranties of merchantability or fitness for a particular purpose
That the Service will be uninterrupted, timely, secure, or error-free
That the results obtained from using the Service will be accurate or reliable
That any errors in the Service will be corrected
That the Service will meet your specific requirements or expectations

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, GRADINTEL SHALL NOT BE LIABLE FOR:

Any indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, or use
Damage arising from your use of or inability to use the Service
Admissions decisions made by educational institutions
Actions taken based on our AI-generated recommendations
Loss or damage to resumes or personal data (beyond our control)

OUR TOTAL LIABILITY shall not exceed the amount paid by you for the Service in the 12 months prior to the event giving rise to liability, or $100, whichever is greater.

12. Indemnification

You agree to indemnify, defend, and hold harmless GradIntel, its officers, directors, employees, contractors, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of any rights of another party
Content you upload to the Service
Any false or misleading information you provide

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination:

Your right to use the Service will immediately cease
All provisions that should survive termination will remain in effect
You may request a copy of your data within 30 days of termination

You may also terminate your account at any time from your dashboard settings. All data will be permanently deleted within 30 days of account closure.

14. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which GradIntel operates, without regard to its conflict of law provisions.

Mediation: If informal resolution fails, we agree to attempt mediation before litigation
Legal Action: Any legal action must be brought in the courts of our jurisdiction
